Terms of Service

1. Agreement

1.1 These Terms of Service (“Terms”) are an agreement between you and Jimmy (“we”, “us”) governing your download, installation and use of Orga (the “app”) and related services.

1.2 By downloading, installing, registering for or using Orga, you confirm that you have read and agree to these Terms and the Privacy Policy. If you do not agree, do not use the service.

1.3 If you obtained the app from the Apple App Store, Apple’s Licensed Application End User License Agreement also applies, and Apple is a third-party beneficiary of these Terms. If you obtained it from Google Play, the Google Play Terms of Service also apply. If these Terms conflict with a platform’s mandatory terms, the platform’s terms prevail to the extent of the conflict.

1.4 If you use the app for an organisation, you represent that you are authorised to do so, and these Terms bind the organisation as well as you.

2. Eligibility and age

You must have the legal capacity required in your jurisdiction. If you are below the age of majority, you may use Orga only with the consent and guidance of a parent or guardian.

Orga is not directed to children under 13. If the age of majority or digital-consent age in your country or region is higher, that higher age applies, and minors below it should use Orga with the consent of a parent or guardian.

3. Your account and security

You must provide a truthful, accurate email address and keep it up to date. You may sign in with email and password, or with Apple or Google.

You must keep your credentials, verification codes and device secure, and you are responsible for activity under your account. If you suspect unauthorised use, contact us immediately at gzy.guy@gmail.com. You can delete your account at any time in the app.

We may ask you to verify your identity, or restrict or suspend abnormal accounts, for security, legal or operational reasons.

4. Your content and licence

You retain ownership of the content you submit and the records derived from it.

You grant us a limited, non-exclusive, revocable licence to store, process, transmit, display and back up your content solely to provide the service. You represent that you have the rights needed to submit the content and that it does not infringe anyone’s rights or violate the law. You must not submit another person’s sensitive personal information without authorisation.

We do not use your content to train our own models and we do not sell it. You should keep your own copies of important information. Orga is a recording and review tool, not your only source of truth or backup system.

5. AI output and professional advice

Orga uses third-party AI providers to turn your input into structured records, summaries, memories and insights. AI output may be inaccurate, incomplete, out of date or biased; use your own judgement and verify it.

AI output is not medical, financial, legal, psychological or other professional advice. Orga is not a medical device and does not provide diagnosis, treatment, prescriptions or emergency assistance. For health, medication, financial, legal or other important decisions, consult a qualified professional. In an emergency or crisis, contact your local emergency services or crisis line immediately; do not rely on Orga alone.

A safety alert is only a prompt with support information. It is not a determination or promise about your safety or anyone else’s.

6. Acceptable use

You must not use Orga to:

• violate any applicable law, regulation or third-party right;
• submit another person’s sensitive personal information without authorisation;
• upload malicious code or viruses, or attempt to break into, scan or bypass security measures;
• bypass quotas, access controls, subscription limits or automation limits;
• interfere with the normal operation of the service or impose an unreasonable load on it;
• use the service for fraud, harassment, hate, violence, infringement or sexual exploitation;
• resell, copy, rent, reverse engineer or extract the service without permission;
• use automated scripts to bulk-register, scrape or abuse AI quotas;
• use the service in a way that violates Apple’s, Google’s or another platform’s terms.

We may restrict, suspend or terminate accounts, remove content or adjust quotas for violations. We may report suspected unlawful activity to the competent authorities.

7. Subscriptions, payment and refunds

Paid plans, such as Plus or Pro, may be offered from time to time. If you purchase a subscription:

• iOS subscriptions are purchased through Apple’s App Store in-app purchase, and prices and currencies are those shown in the App Store;
• subscriptions renew automatically unless you cancel at least 24 hours before the end of the current period in your Apple ID subscription settings;
• the fee is charged to your Apple ID when you confirm the purchase;
• you can manage and cancel subscriptions in the App Store’s Subscriptions settings;
• refunds are handled by Apple under its policies; we do not process App Store refunds directly;
• prices may change, with notice as required by Apple’s rules; an active subscription is not affected during its current period;
• if you delete your Orga account, your Apple subscription is not cancelled automatically; you must cancel it separately in the App Store;
• subscription entitlements are tied to your Orga account. We do not refund entitlements terminated because of account deletion, a ban or a breach of these Terms, except where required by law or Apple policy.

8. Usage limits and fair use

Plans may differ in daily records, monthly AI analyses, entry length, image uploads and available modules. The current limits are shown in the app and on the App Store product page, and those prevail over any general description.

We may adjust limits, features and plan contents and will give notice in the app or by another reasonable means in advance. Where a plan is described as unlimited, it is subject to reasonable use. We reserve the right to limit abuse, automation, resale or abnormal usage.

9. Service changes and availability

We work to keep the service stable, but we do not guarantee uninterrupted, error-free or always-available operation. We may suspend the service for maintenance, upgrades, security incidents or events beyond our control, and we may add, change or remove features.

For free services, we may stop providing the service with reasonable notice. For paid services, if we decide to discontinue them, we will handle any unused period under applicable law and Apple’s rules. We are not responsible for unavailability caused by networks, devices, third-party services or restrictions in your region.

10. Intellectual property

The Orga name, marks, interface, code, documentation and related materials belong to us or our licensors. You may not use, copy, modify, distribute or create derivative works from them except as expressly permitted by these Terms.

The content you submit belongs to you. The licence you grant us is used only to provide the service and ends, subject to the Privacy Policy’s retention rules, when you delete the content or your account.

11. Third-party services

Orga relies on third-party services, including the Apple App Store, Google Sign-In, AI providers, Cloudflare, Resend and RevenueCat. Those services are governed by their own terms and privacy policies. We are not responsible for their interruptions, errors or conduct, but we will reasonably help you troubleshoot.

12. Disclaimers

To the maximum extent permitted by law:

• the service is provided “as is” and “as available”;
• we do not warrant the accuracy, completeness, timeliness or fitness of AI output;
• we do not guarantee that the service will meet your specific needs or that data will never be lost;
• we are not liable for indirect, incidental, special, punitive or consequential losses arising from use of or inability to use the service;
• we are not responsible for decisions you make based on AI output.

Some jurisdictions do not allow certain exclusions of warranties or liability, so parts of this section may not apply to you.

13. Limitation of liability

To the maximum extent permitted by law, our total liability to you will not exceed the amount you actually paid for the service in the previous 12 months, or USD 100, whichever is greater.

This section does not limit liability for our wilful misconduct or gross negligence, personal injury, fraud, or any liability that cannot be limited by law.

14. Indemnity

If a third party brings a claim, loss or expense (including reasonable legal fees) against us because you breached these Terms, infringed someone’s rights, used the service unlawfully or submitted infringing content, you agree to indemnify and hold us harmless.

15. Termination

You may stop using the service and delete your account at any time. We may suspend or terminate your account if you materially breach these Terms, or if we reasonably believe your use endangers the service, other people or legal compliance.

After termination, you retain ownership of your content, but we may delete data within a reasonable period. The sections on intellectual property, disclaimers, limitation of liability, indemnity and dispute resolution survive termination.

16. Apple-specific terms

If you download Orga from the Apple App Store:

• these Terms are between you and us only, not Apple;
• Apple has no obligation to provide maintenance or support;
• if the service fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any;
• Apple is a third-party beneficiary of these Terms and may enforce them;
• you must comply with Apple’s applicable terms, including the Apple Media Services Terms and Conditions;
• your use of Apple devices and services is governed by your agreement with Apple.

17. Governing law and disputes

These Terms are governed by the laws of Malaysia, without regard to conflict-of-law rules. Disputes arising from these Terms should first be raised with us at gzy.guy@gmail.com for good-faith resolution. If no resolution is reached, the dispute will be submitted to the competent courts of Malaysia.

If you are a consumer with mandatory local jurisdiction or consumer-protection rights, this section does not exclude those rights.

18. Changes

We may update these Terms. We will notify you of material changes in the app or by email and update the effective date. If you do not agree with the updated Terms, you may stop using the service and delete your account. Continuing to use the service after a change takes effect means you accept the updated Terms.

19. General

• If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect.
• Our failure or delay in exercising a right is not a waiver of that right.
• These Terms and the Privacy Policy are the entire agreement between you and us regarding the service and replace any prior oral or written agreement.
• You may not assign your rights or obligations under these Terms without our written consent; we may assign these Terms in connection with a merger, acquisition or asset transfer.
• These Terms are available in Chinese and English. Both versions are intended to have the same meaning; if there is any ambiguity, the English version prevails, except where applicable consumer law requires the Chinese version to prevail.
